1. About these Terms
These Terms & Conditions govern access to and use of MakhanaMandi (“MMX”), including its website, B2B trading exchange, Business profiles, listings, communication and connection features, verification services, membership plans and related services.
MMX is operated by Impact Solutions. By registering, accessing, listing, requesting a connection, purchasing a service or otherwise using MMX, you agree to these Terms. If you do not agree, do not use the relevant service.
2. MMX is a Trading Exchange, Not a Party to Every Trade
MMX provides infrastructure for business discovery, information, trust signals, communication and exchange workflows. Unless a separate written agreement expressly states otherwise, MMX is not the buyer, seller, manufacturer, broker, financier, insurer, transporter or guarantor of a transaction between users.
Users remain responsible for their own commercial decisions, due diligence, contracts, quality inspection, payment arrangements, taxation, logistics, regulatory compliance and fulfilment.
3. Business Registration and Eligibility
- Users must provide accurate, current and non-misleading information.
- A Business profile must represent a genuine business or legitimate commercial participant.
- Mobile and email verification may be required before publication of a Business or listing.
- MMX may request additional information or evidence where reasonably necessary for trust, compliance, security or verification.
- Users must not create duplicate, deceptive or impersonating Business profiles.
4. Listings and Trade Information
Users are responsible for the accuracy of quantity, grade, quality, origin, crop year, price, payment terms, dispatch time, certifications, claims and all other listing information they publish.
MMX may suspend, reject, edit for formatting, restrict or remove listings that violate these Terms, applicable law, marketplace rules or integrity requirements.
5. MRI — MakhanaMandi Reliability Index
MRI is MMX’s business-level trust and reliability framework. It is designed to help users evaluate a Business using structured evidence and marketplace behaviour.
- MRI is measured on a 0–1,000 point scale.
- 100% corresponds to 1,000 points.
- MRI is not a credit score, financial guarantee, solvency certificate or promise that a transaction will succeed.
- MRI points cannot be directly purchased.
- Paid membership or paid visibility does not automatically increase MRI.
- Verification services may establish evidence that becomes eligible for MRI according to the applicable MRI rules.
6. Verification Services
MMX may offer document verification, additional document verification, physical site verification and other trust services. Verification is specific to the evidence or facility and the scope of the service performed.
A verification does not guarantee the overall business, product, financial capacity or future conduct of the Business. Verification may expire, require renewal or be affected by subsequent changes.
7. Deals and Transaction Records
A Buyer or Seller may initiate a deal closure. MMX may distinguish between a transaction reported as closed outside MMX and a transaction completed through the MMX verification workflow.
A transaction should not be treated as a verified MMX transaction for trust/reputation purposes merely because one party marks it closed. Where required, the counterparty must accept the closure and MMX may validate relevant trade information.
8. Reviews, Reputation and Conduct
Where MMX permits transaction-linked ratings, reviews should relate to genuine eligible transactions. MMX may use blind or delayed publication and moderation controls to reduce retaliation, manipulation and abuse.
Users must not submit fabricated reviews, coordinated ratings, extortionate ratings, retaliatory reviews or reviews unrelated to the underlying transaction.
9. Contact and Connection Features
MMX may limit direct access to Business contact information to reduce spam, scraping and unsolicited commercial activity. Free and paid plans may have different connection limits.
Usage limits may operate against the target Business, rather than merely against an individual listing, so users cannot bypass limits through multiple listings belonging to the same Business.
10. Fees, Memberships and Services
Membership plans, connection credits, verification services and other paid services are subject to the price, scope and conditions displayed at the time of purchase.
MMX may change future pricing or introduce new plans. Existing prepaid services will be governed by the terms applicable at the time of purchase, subject to applicable law and the stated refund/cancellation rules.
11. Prohibited Conduct
- Fraud, impersonation, false documents or deceptive business information.
- Spam, scraping, automated harvesting of contact information or abusive outreach.
- Manipulation of MRI, reviews, transactions, listings or verification evidence.
- Using MMX to facilitate unlawful goods, unlawful payments or unlawful activity.
- Uploading malicious files, attempting unauthorised access or interfering with platform security.
- Misusing another Business’s identity, certificates, trademarks, photographs or confidential information.
12. Suspension and Termination
MMX may suspend, restrict or terminate an account, Business, listing, connection facility or service where there is a reasonable basis to believe that the user has violated these Terms, created a security/trust risk, submitted false information, abused the platform or failed applicable verification requirements.
13. Intellectual Property
MMX software, branding, design, content, trademarks, databases, scoring methodology, user-interface elements and platform materials are protected by applicable intellectual-property laws.
14. Disclaimers
MMX provides marketplace and trust infrastructure on an “as available” basis. To the extent permitted by law, MMX does not guarantee uninterrupted availability, a particular trading outcome, product quality, payment performance, delivery performance, profitability or future conduct of another user.
15. Limitation of Liability
To the maximum extent permitted by applicable law, MMX shall not be liable for indirect, incidental, special or consequential losses arising from transactions or interactions between users. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Governing Law and Jurisdiction
These policies and the use of MMX are governed by the laws of India. Subject to applicable law, any dispute arising out of or relating to MMX, its services or the applicable policy shall be subject to the jurisdiction of the competent courts at Darbhanga, Bihar, India.
16. Changes to these Terms
MMX may update these Terms to reflect changes in the platform, services, law or security requirements. The latest version will be published on the platform with an updated date.
